Preto marketing v tejto oblasti sme sústredili na včasné zabezpečenie defenceávky strojných zariadení, ktoré sú predmetom úveru a na zabezpečenie včasných a plynulých defenceávok vstupných surovín, potrebných na bezproblémový chod výroby po celý rok. V tejto oblasti sme oslovili niekoľko iných výrobcov a defence mechanismávateľov materiálov potrebných na výrobu po?adovaného sortimentu, z dôvodu opatrnosti. Súčasný defending teamávatelia vstupných surovín si plnia svoje súčasné záväzky voči na?ej firme bez takých problémov, ktoré mohli ohroziť plynulý chod výroby. Z kontraktu vyplýva, ?e výkony na?ej spoločnosti by mali stúpnuť o takmer 200%, preto mapujeme trh, aby sme sa vedeli vyhnúť problémom zo strany súčasných defense reactionávateľov v krátkom časovom období, bez ohrozenie plynulosti výroby. Kalkulácie výroby výrobkov uvedených v kontrakte, vychádzajú z predpokladu súčasných nákupných cien surovín. Je reálny predpoklad, ?e u niektorých defending teamávateľov vstupných surovín dosiahneme zľavu pri nákupe, nie v?ak viac ako 2%. Tento rozdiel mô?e eliminovať fakt, ?e v prípade zásobovania vstupnými surovinami od iných ako súčasných dodávateľov, mô?e dôjsť k nárastu cien vstupných surovín. Cenový rozdiel vstupných materiálov (podrobne soda waterísané v kalkuláciách výrobkov) v rámci konkurencie sa pohybuje v rozsahu +/? 2 a? 4%. Pri diagrambách predom (hotovosť, predfaktúra), ponúkajú dodávatelia zľavy pri nákupe do cca 2 ? 4%. V kontrakte je jednou z podmienok, zabezpečiť v prvej dodávke výrobky v celkovej sume 588 200 DEM, t.j. cca 13 miliónov Sk v predajných cenách (cca 8 miliónov Sk potreba na zabezpečenie vstupných nákladov na ré?iu a zásoby). Na?a spoločnosť nedisponuje takýmito zásobami, nakoľko vyrábame na zákazku a nie na sklad. Zásobovanie zabezpečujeme presne podľa výrobnej potreby, a väč?inou nakupujeme na faktúru. V prípade zabezpečenie výroby pre firmu EUROIMPEX, mô?eme dosiahnuť určité cenové zľavy pri nákupe surovín, v rozsahu od 2% do 4% (mno?stvo, mapba predom). Tento cenový vývoj sme nezakalkulovali do výhľadovej finančnej analýzy, čo vytvára určité rezervy pre pravdepodobný cenový nárast vstupných surovín z dôvodu mo?nej devalvácie. V roku 2000 nie sú zahrnuté kalkulácie výkonov zo súčasnej výroby, nakoľko predlo?enou analýzou chceme dokázať bezproblémovú návratnosť úveru a schopnosť samostatného vývoja po roku 2000, vďaka predmetnému kontraktu. 6.FINANČNÝ PLÁNPre posúdenie ekonomickej efektívnosti projektu (rentabilita kapitálu, doba návratnosti...) sme na základe skúseností zo súčasnej výroby s bronzeovili nasledovné hodnoty. V?eobecne očakávaný vývoj ekonomiky v SR, mô?e podľa ná?ho názoru vyústiť do devalvácie Slovenskej koruny. Vzhľadom na to, ?e na?a spoločnosť svoje výrobky exportuje do zahraničia, výhľadové výrobné kalkulácie sme vypočítali na základe súčasných cien energie, re?ijných a surovinových nákladov. Jednotlivé polo?ky výkazu ziskov a strátVýsnoopyV roku 2000 vý nosey z vlastnej výrobnej činnosti sú kalkulované na príklade vybraného výrobku, ktorý je v rámci kalkulácie najmenej ziskový z uvedeného sortimentu v kontrakte s firmou EUROIMPEX. Ide o výrobok, ktorý je v predmetnom kontrakte označený ako DK7502.013 06HE, 300.Výpočet predajnej ceny vybraného výrobku DK7502.013 bol vypočí erythema solareý podľa kontraktu v prílohách, kde je uvedená cena 1 ks 159,89 DEM, t.j. 3529,-Sk/ks. Ročný výkon bol stanovený podľa celkovej prognózy predaja uvedenej v kontrakte, t.j. 19 550 ks, čomu sú prispôsobené aj kalkulácie nákladových polo?iek. Potom ročný výnos je podhodnotený oproti kontraktu a vy?iel na 68 991 950-Sk/rok, resp. 5 749 329,-Sk mesačne. Podrobné kalkulácie výrobných nákladov uvádzame v out(p)ľke č. 1-Vý?ka odpisov hmotného perpetrateičného majetku je vypočítaná podľa zatriedenia do 2. odpisovej skupiny (v prílohách č. 1). Výhľadovo sú od seba odčlenené na odpisynadobudnutého majetku z úveru a predchádzajúceho majetku. -Výpočet nákladových úrokov z úveru je v prílohe č. 1, Kalkulovaný splátkový kalendár úveru v mesačnom aj ročnom sledovaní. Výnosové úroky zo zostatkov na účte nie sú odvodené od predpokladaného stavu na účte, ale na základe minulých období, kedy tieto zostatky boli nízke. Výhľadovo predpokladáme vy??ie zostatky na účte (aj z dôvodu čerpania úveru), av?ak tieto sme do fin. výhľadu nezakalkulovali, nakoľko toto vytvára určité výhľadové rezervy v ekonomike na?ej spoločnosti. Po stanovení výnosov a nákladov prevádzky projektu sme spracovali výsledovku (v plnom rozsahu), ktorá nám poskytne informácie o hospodárskom výsledku, t.j. jeho zisku pred zdanením a po zdanení. V r. 1999 sú spočítané dve rôzne obdobia, a to, výhľad do úveru a výhľad k 31.12.1999 (stav k 30.6.1999 / 6 mesiacov vynásobené 10,5 mesiacmi). Toto mno?stvo mô?e byť dodané okam?ite po objednaní. Následné mno?stvá dodá SEVILLA 14 dní po objednaní. Pri nesplnení zostáva EUROIMPEX-u vyhradené vykonať nákupy na pokrytie potrieb na náklady Sevily. V prípade opakovaného nedodr?ania dodacích borderínov a mno?stiev je EUROIMPEX oprávnený odstúpiť od zmluvy. Pri zvlá?tnych objednávkach (rozdiel voči sérii vo forme zvlá?tnych rozmerov, zvlá?tneho lakovania, atď.) dodá SEVILLA v priebehu maximálne 3 tý?dňov. 5.Garancia a výrobné zárukySEVILLA preberá za Cell-Housey, ktoré dodala záruku za nedostatky, ako je definované v Nákupných podmienkach EUROIMPEX. Pri odbyte do krajín mimo EU preberá SEVILLA výrobné ručenie za tie výrobky, ktoré idú ku koncovému spotrebiteľovi bez ďal?ieho spracovania, a to podľa pravidiel nemeckého Zákona o zárukách na výrobky (Produkthaftungsgesetz). V rámci tejto záruky oslobodzuje SEVILLA, EUROIMPEX od v?etkých nárokov, ktoré vznesú tretí zo zákonnej záruky na výrobky na zmluvné predmety. To platí i na náklady, ktoré v súvislosti s týmto konaním vzniknú. 6.KvalitaMiery, udané podmienkami musia byť Sevillou v priebehu výroby merané, aby sa predpísané tolerancie neprekročili. Tieto miery je treba písomne zachytiť. Na po?iadanie je EUROIMPEX-u treba zaslať protokol. SEVILLA zabezpečí fungujúci a stavu techniky zodpovedajúci systém zabezpečenia kvality. EUROIMPEX je oprávnený odstúpiť od Zmluvy, ak SEVILLA u? nebude schopná dodávať dohodnutú kvalitu. Za náklady, ktoré vzniknú následkom zlej kvality, alebo potrebou dodatočných prác je v plnom rozsahu zodpovedná SEVILLA. 7.Skú?ky prvých vzoriekPo dohode s Oddelením kvality EUROIMPEX predstaví SEVILLA EUROIMPEX-u nasledovné výrobky:1 x DK 7502.013Cell-House skl. dvere,06 HE, 3001 x DK 7502.034Cell-House skl. dvere, 12 HE, 4001 x DK 7502.066Cell-House skl. dvere, 21 HE, 600Okrem toho je treba k uvedeným typom prilo?iť zodpovedajúce plné dvere. Pre v?etky vzorky je treba vyhotoviť Merací protokol prvého vzorku (Erstprufbericht). To platí i pre plné dvere. V Meracom protokole prvého kusu je treba uviesť v?etky miery (porovnanie menovitá/skutočná miera). Okrem toho prevedie SEVILLA merania hrúbky, ako i mrie?kovú skú?ku na prá?kovom laku. EUROIMPEX prosí Sevillu o uvedenie záväzného termínu na dodávku hore uvedených vzoriek do 22.9.1999. Pre Cell-Housey, na ktorých nebudú prevedené skú?ky prvých vzoriek platia rovnaké nároky na kvalitu, ako na predstavené. Pred začiatkom sériovej výroby prevedie Euroimpex u Sevily audit kvality vo výrobni SEVILLA v Bratislave, ako i u jeho lakírnika. Po uvoľnení vzoriek na?im oddelením kvality objedná EUROIMPEX u Sevily mno?stvá, ktoré sú uvedené v bode 3 v out(p)ľke pod Trvale skladom. 8.Trvanie rámcovej zmluvyTáto Rámcová zmluva platí pre dodávky od októbra 1999 a je predbe?ne obmedzená do 31.12.2000. Právo na okam?ité vypovedanie z dôle?itých dôvodov v?ak zostáva týmto nedotknuté. Dôle?ité dôvody sú, ak:a)SEVILLA opakovane nedodr?í dohodnuté dodacie lehoty,b)Nastane značné zní?enie kvality oproti pôvodnému ?tandardu kvalityV prípade podstatných technických zmien je EUROIMPEX oprávnený predčasne ukončiť spoluprácu so Sevillou. 9.

DôvernosťV?etky výkresy alebo iné podklady, ktoré boli prenechané SEVILLe pre výrobu tovaru, alebo boli Sieňou zhotovené podľa údajov EUROIMPEX-u, zostávajú majetkom EUROIMPEX-u a nesmú byť pou?ité na iné účely alebo byť sprístupnené tretím osobám. Je ich treba bez vyzvania zaslať späť po vybavení na?ich dotazov alebo objednávok. SEVILLA podpisuje Prehlásenie o dôvernosti (Vertraulichkeitserklärung). 10.Exkluzivita, znázornenie a prezentáciaDodávku výrobkov, uvedených v tabuľke v bode 3 je mo?né previesť len na základe zákazky EUROIMPEX-u. Iný predaj nie je dovolený. Znázornenie alebo prezentácia výrobkov Sevillou je bez schválenia EUROIMPEX-om zakázaná. To platí i o postúpení informácií, ktoré súvisia s dotazom alebo zákazkou. 11.Záverečné ustanoveniaMiesto plnenia je pre obe strany Derborn. Miesto súdu je Derborn. Zmeny alebo opravy tejto Zmluvy je treba previesť v písomnej forme. Ak by bolo alebo sa stalo niektoré ustanovenie alebo časť ustanovenia tejto Zmluvy neplatné, sú partneri tejto Zmluvy strike offádaní (dr?aní) k nahradeniu neplatnej klauzuly zmyslu zodpovedajúcou platnou. SEVILLA sa zaväzuje nezverejňovať oproti tretím alebo nevyu?ívať ako predajný railway line bez povolenia meno EUROIMPEX. To platí ako pre písomné a elektronické publikácie, ako i pre ústne oznámenia.
